About the role:

Golden Tree is seeking a highly qualified and experienced professional to join our Board of Directors as a Non-Executive Director. This role offers an opportunity to contribute expertise in business strategy, risk management, and governance. The role involves guiding executive leadership while ensuring effective oversight and long-term value creation for the company.

Key Responsibilities

  • Provide high-level guidance and objective oversight on company strategy and policy, risk management, performance, and corporate governance.
  • Support executive management by offering industry expertise and market insights.
  • Advise on operational decisions to enhance the company’s long-term sustainability and profitability.
  • Offer expertise in areas such as real estate development, corporate financing, and long-term planning.
  • Participate in board meetings, committee assignments, and strategic discussions.
  • Scrutinize and monitor the performance of Golden Tree in achieving the corporate goals and objectives.
  • Participate in board meetings, discussions, and key decision-making processes.
  • Fulfill responsibilities as outlined in the Prakas on Corporate Governance of Listed Companies, issued by the Securities and Exchange Regulator of Cambodia (SERC)

 

Qualifications and Skills

  • Minimum bachelor’s degree (or equivalent)
  • Minimum 5 years’ working experience in the field of finance or accounting.
  • Extensive leadership experience in real estate, finance, corporate governance, or a related field.
  • Strong understanding of corporate governance principles and board responsibilities.
  • Proven track record of strategic decision-making at an executive or board level.
  • High ethical standards and a commitment to objective guidance.

Term & Compensation:

  • The Independent Director will serve a 3-year term, subject to renewal.
  • Compensation will be in line with industry standards and may include a stipend, per-meeting fee, or other benefits as determined by the Board.
